Spinlabs Terms & Conditions

1. Grant of License

Spinlabs grants users a non-exclusive, personal, non-transferable right to use the Service on internet-connected devices. The service is prohibited for: (i) minors under 18, (ii) individuals below the age of majority in their jurisdiction, and (iii) those in jurisdictions where it is illegal.

The company retains all intellectual property rights. Users cannot copy, create derivative works, distribute, publish, reverse engineer, decompile, disassemble, modify, or translate the platform. Users bear sole liability for unauthorized uses and must report violations to Spinlabs immediately.

Spinlabs owns all trademarks including “Spinlabs” plus all site content. Users acknowledge obtaining no rights in the Site Content and/or the Trade Marks and agree not to harm Spinlabs's intellectual property rights.

2. No Warranties

The service is provided “as is” with no warranty or representation whatsoever regarding its quality, fitness for purpose, completeness or accuracy. Spinlabs makes no warranty that service will be uninterrupted, timely, or error-free.

3. Authority / Terms of Service

Spinlabs retains all authority over the issuing, maintenance, and closing of the Service. Management decisions are final and not subject to review or appeal.

4. Your Representations and Warranties

Users acknowledge:

• Risk of losing cryptocurrency and funds; Spinlabs bears no responsibility for losses
• Service use is entirely at user's discretion and risk
• Users are responsible for applicable taxes on cryptocurrency transactions
• Telecommunications and blockchain networks are beyond Spinlabs's control
• Users must be 18+, of legal age of majority, accessing from legal jurisdictions
• Users are not Politically Exposed Persons (PEPs) nor on U.S./EU sanctions lists
• Users must report bugs to admin@spinlabs.io immediately and cannot exploit them for financial gain

5. Cookies and Do Not Track

Spinlabs uses cookies to enhance user experience, recognize devices, conduct diagnostics, and prevent fraud. Third parties approved by Spinlabs may set cookies. Users can adjust browser settings to reject cookies, though this may impair functionality.

The company does not currently honor “do not track” signals, as there is no standard for how online services should respond to such signals. The website does not track personal information unless intentionally provided.

6. Prohibited Uses

Personal Use Only: The service is intended solely for the User's personal use and cannot be used for multiple accounts or collusion.

Exploits & Bugs: Exploiting service errors constitutes material breach. Misappropriated funds are considered void and the immediate property of Spinlabs.

Jurisdictions: Users from North Korea, Iran, Venezuela, and other prohibited jurisdictions cannot use the service. Circumventing location restrictions violates the agreement. Any and all monies (including cryptocurrencies) of a person located in a Prohibited Jurisdiction are VOID and subject to confiscation or return at Spinlabs's discretion.

7. Regulations and KYC/AML Policy

Spinlabs is a permissionless and fully decentralised platform for blockchain entity creation and management. It provides smart contract tools for token creation on Ethereum and other supported blockchains.

Spinlabs makes no warranty as to the merit, legality or juridical nature of any token creation and users bear sole responsibility for determining applicable laws and KYC/AML requirements.

Spinlabs's Rights: The company reserves the right to:

• Request KYC documentation at any time to verify identity and location
• Restrict service until identity is sufficiently determined
• Share KYC information with third parties for verification
• Confiscate funds violating AML and countering terrorism financing laws
• Cooperate with competent authorities

The service is not offered to individuals on PEP lists or subject to U.S., EU, or global sanctions lists.

8. Breach

Upon breach, Spinlabs reserves the right to take such action as it sees fit, including terminating this Agreement and taking legal action. Users must fully indemnify, defend and hold harmless Spinlabs and its shareholders, directors, agents and employees from claims arising from: (i) agreement breach, (ii) violation of laws or third-party rights, and (iii) service use.

9. Limitations and Liability

Under no circumstances, including negligence, shall Spinlabs be liable for any special, incidental, direct, indirect or consequential damages whatsoever. Exception: nothing excludes Spinlabs's liability for death or personal injury from its negligence.

10. Disputes

Complaints should be directed to admin@spinlabs.io. Unresolved disputes may be pursued through remedies in the governing law jurisdiction.

11. Amendment

Spinlabs reserves the right to update or modify this Agreement or any part thereof at any time without notice. Continued service use constitutes agreement to amendments.

12. Governing Law

The agreement is governed by, and construed in accordance with, the laws of the British Virgin Islands. Those courts have exclusive jurisdiction. Spinlabs may pursue proceedings in other competent jurisdictions.

13. Severability

If any provision becomes illegal or unenforceable, it does not affect other provisions' validity.

14. Assignment

Spinlabs reserves the right to assign this agreement, in whole or in part, at any time without notice. Users cannot assign rights or obligations.

15. Miscellaneous

• Spinlabs's waiver of one breach does not constitute waiver of others
• The agreement creates no third-party beneficiary rights
• No partnership, agency, or fiduciary relationship exists between parties
• Spinlabs may assign or subcontract obligations
• This constitutes the entire agreement, superseding prior understandings

16. Cryptocurrency

CRYPTOCURRENCY VALUES CAN FLUCTUATE GREATLY IN VALUE DEPENDING ON MARKET CONDITIONS. Users warrant awareness of cryptocurrency volatility and hold Spinlabs harmless for resulting losses.
